Recent operating-structure decisions

Incorporate early and transfer IP at incorporation

Status: Decided (April 2026)

Decision: RapidDraft should complete company formation early and execute IP plus trademark transfer at incorporation time, before revenue or investor valuation creates tax exposure.

Why: The legal notes treated delayed IP transfer as the biggest avoidable structure risk. Once the company has visible value, the transfer can become a taxable event instead of a clean founder-to-company setup.

Decide holding structure before or with the operating company

Status: Decided (April 2026)

Decision: If RapidDraft wants a holding-company structure, it should be created before or at the same time as the operating company rather than as a later cleanup step.

Why: The legal notes flagged late holding creation as a sequencing mistake that can delay the intended tax advantages for years.
